General terms of sale

Translation provided for information only. Only the French version is legally binding.

Version of 2 October 2026, applicable to orders placed from that date. Contracts signed before then remain governed by the version of 16 April 2026.

1Identification of the service provider

These general terms of sale (the “Terms”) are entered into between mfdy.digital, trading name of Freddy Gervason, sole trader under the French micro-entreprise scheme, SIRET 791 744 501 00028, 23 rue du Rave, 69390 Millery, France, contact@mfdydigital.com, +33 6 16 48 23 25, and any natural or legal person (“the Client”) using its services.

VAT not applicable, article 293 B of the French General Tax Code. All prices are in euros, with no tax on top: the amount shown is the amount you pay.

2Purpose and scope

These Terms govern all the services offered, in particular:

  • the creation and redesign of business websites, in two tiers: Essential (from 2,500 EUR) and Premium (from 4,000 EUR);
  • ready-made tools: Legal kit (190 EUR), optimised Google Business Profile (290 EUR), price estimator (290 EUR), client portal (490 EUR + 29 EUR/month), Backstage (from 690 EUR), SEO/GEO unlock (990 EUR);
  • hosting and maintenance of business websites (article 4.3);
  • the monthly SEO/GEO retainer (article 6);
  • site networks for federations, franchises and networks, on quote;
  • any other service priced on quote (automations, maintenance, support).

Any order implies full and unreserved acceptance of these Terms. In the event of a conflict between the Terms and a specific quote, the quote prevails.

3Formation of the contract

The prices shown on the mfdydigital.com website are those in force on the date of the quote. The contract is formed when the quote is signed and the agreed deposit is paid. Every quote is valid for 30 days from its date of issue.

Work starts within 5 working days of receipt of the deposit and of all the necessary materials (content, access, logo, visuals). The timelines announced, including “under a week” for ready-made tools, run from that receipt and depend on the pace of the back and forth with the Client. Any delay in providing the materials suspends the delivery timelines.

4Prices and payment terms

4.1 One-off services (websites, tools, unlock)

Launch subject to payment: no launch or delivery takes place before the balance has been received. The Client is notified by email as soon as the project is ready. If payment is not made within 15 calendar days of this notification, the work is not kept beyond that period. The deposit paid is retained as compensation.

4.2 Client portal subscription

The client portal is billed 490 EUR for setup, then 29 EUR/month. The subscription covers hosting of the database and files, backups, security updates and support. It is paid monthly, with no minimum term, and can be cancelled by email, taking effect at the end of the current month. On cancellation, the Client gets back all of their documents.

4.3 Hosting and maintenance of business websites

For business websites, hosting of the website, the domain name, the HTTPS certificate, backups and security updates are included for the first year, from the launch date.

After that, these services continue under the “Hosting and maintenance” plan at 39 EUR/month, with no minimum term, cancellable by email with one month's notice. If the service ends, the website and the domain name are transferred to the Client or to the provider of their choice, free of charge.

4.4 Late payment

Any unpaid monthly payment or instalment triggers a reminder. If payment is not made within 15 days, the service concerned is suspended until the account is settled. Any late payment automatically incurs interest at the French statutory rate and, for a business Client, a fixed recovery fee of 40 EUR (article D. 441-5 of the French Commercial Code).

5Performance and revisions

Each project includes 2 rounds of corrections, sent in a single batch. Any further change is billed at 60 EUR per hour, after an accepted quote. The following are not included revisions: changes to items already approved, the addition of features not provided for in the quote, or corrections caused by content supplied with errors by the Client.

The support included with business websites (one month for Essential, three months for Premium) runs from the launch date. It covers corrections, small adjustments and help getting started.

6SEO/GEO retainer: commitment periods and exit

The monthly SEO/GEO retainer comes in three plans, chosen by the Client at the time of the quote:

Free exit at month 3 (12-month plan). If the website's main pages listed in the quote are not indexed by Google at the end of the 3rd month of the retainer (checked through Search Console or the site: command), the Client may end the contract at no cost and without notice, by simple email sent within the following 30 days. Months already paid are not refunded.

At the end of the commitment period, the contract continues month by month at the same rate, cancellable with one month's notice. Apart from the free exit above, early termination of a plan with a commitment gives rise to a fee equal to three monthly payments, or to half of the remaining monthly payments if that amount is lower.

The SEO/GEO retainer is a best-efforts obligation. No quantified result is guaranteed: no ranking in search engines, no number of visits or requests, no timeframe for being cited by an answer engine (ChatGPT, Perplexity or any other).

7Termination

Except for the cases provided for in article 6, the Client may terminate a recurring service by written notice (email with acknowledgement of receipt), subject to one calendar month's notice. Periods already paid are not refundable. mfdy.digital may terminate in the event of a serious breach by the Client, after a formal notice that has remained without effect for 8 days.

8Intellectual property

Once payment has been made in full, mfdy.digital assigns to the Client the rights to use the creations made for them, for professional use, with no time limit. The website, the domain name and the content belong to the Client. Third-party resources remain subject to their respective licences. mfdy.digital reserves the right to mention the Client as a reference, unless the Client objects in writing within 30 days of delivery.

9Client obligations

The Client undertakes to provide complete and accurate information, to hold all rights to the materials supplied, to meet approval deadlines and to pay the sums due on the agreed dates.

10Limitation of liability

mfdy.digital is bound by a best-efforts obligation. It cannot be held liable for malfunctions of third-party services (host, Google, payment platforms, plugins), for data loss attributable to the Client, or for ranking results. In any event, liability is capped at the amount received for the service concerned.

11Confidentiality and personal data

mfdy.digital treats all information provided by the Client as confidential. The personal data collected is used only to manage the services and for invoicing, and is not passed on to third parties other than the technical processors listed in the privacy policy. The Client has the right to access, rectify and delete their data, which can be exercised at contact@mfdydigital.com.

12Right of withdrawal

In accordance with article L. 221-28 of the French Consumer Code, the right of withdrawal does not apply to services fully performed before the end of the withdrawal period, or whose performance began with the express consent of the consumer Client. In business-to-business relationships, no statutory right of withdrawal applies.

13Communication

For clarity and traceability, change requests, approvals and feedback are made in writing (email, or a message followed by written confirmation). A request made only verbally and not confirmed in writing cannot be considered agreed. mfdy.digital may ask for written confirmation before starting any additional work.

14Consumer mediation

A consumer Client may use a consumer mediator free of charge, after a written complaint sent to mfdy.digital has not received a satisfactory answer within 2 months. mfdy.digital is joining an approved mediator: its details (name, address, website) will be given here in October 2026. Until then, any complaint can be sent to contact@mfdydigital.com.

15Governing law and jurisdiction

These Terms are governed by French law. In the event of a dispute, the parties will first seek an amicable solution. Failing that, any dispute will fall under the jurisdiction of the courts of Lyon, subject to the mandatory rules protecting consumers.

16Changes to the Terms

The applicable Terms are those in force on the date the quote is signed. For recurring contracts in progress, any substantial change is notified by email with 60 days' notice.
